Agreement to Terms

By accessing and using WorkHQ ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Description of Service

WorkHQ is an AI-powered workflow automation platform that enables users to create, manage, and execute automated workflows through Object Cards, Digital Employees, and WFX (Workflow as Code) scripting.

User Accounts

Account Creation

To use our Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Acceptable Use

Permitted Uses

You may use our Service only for lawful purposes and in accordance with these Terms. You agree to:

• Respect the intellectual property rights of others
• Maintain the confidentiality of your account credentials

Intellectual Property Rights

Our Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of OnePgr and its licensors. The Service is protected by copyright, trademark, and other laws.

Your Content

You retain ownership of any content you create using our Service, including WFX scripts, workflow configurations, and data. By using our Service, you grant us a limited license to process, store, and execute your content as necessary to provide the Service.

Payment Terms

Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as otherwise specified in these Terms.

Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price changes take effect.

Free Trial

We may offer a free trial period. If you do not cancel before the trial ends, you will be automatically charged for the applicable subscription.

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or other operational reasons.

Data and Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

Termination

By You

You may terminate your account at any time by contacting us or using the account termination features in the Service.

By Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL ONEPGR, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Indemnification

You agree to defend, indemnify, and hold harmless OnePgr and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

Governing Law

These Terms shall be interpreted and governed by the laws of the State of California, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
